Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Loop Bounty ("Company," "we," "us," or "our") governing your use of the Loop Bounty mobile application, website, and related services (collectively, the "Service").

By downloading, installing, or using the Service, you represent that you are at least 13 years of age (or 16 in the European Economic Area) and have the legal capacity to enter into this agreement. If you are under 18, you represent that a parent or guardian has reviewed and consented to these Terms.

2. Description of Service

Loop Bounty is a music rights monitoring platform that enables music producers and rights holders to:

• Upload audio loops and samples for fingerprinting and monitoring
• Receive automated detections when uploaded audio appears in songs across major streaming platforms including Spotify, Apple Music, YouTube, and Deezer
• Access stream count data, artist information, and platform links for detected songs
• Participate in a community marketplace for loop placements via the Bounty Board
• Build a public producer profile and engage with the producer community

The Service uses proprietary audio fingerprinting technology to identify potential matches. Loop Bounty does not guarantee the detection of all instances of audio usage, and detections should be independently verified before taking any legal or commercial action.

3. Accounts & Registration

3.1 Account Creation

You may use certain features of the Service as a guest without creating an account (including one free loop upload). To access full features, you must register for an account by providing a valid email address, display name, and password.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access at support@loopbounty.com

We are not liable for any loss or damage arising from unauthorized access to your account.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.

3.4 One Account Per User

You may not create multiple accounts to circumvent upload limits, free trial restrictions, or any other service limitations. We reserve the right to terminate duplicate accounts.

4. User Content & Uploads

4.1 Your Content

You retain all ownership rights in the audio files, loops, samples, and other content you upload to Loop Bounty ("User Content"). By uploading content, you grant Loop Bounty a limited, non-exclusive, royalty-free license to:

• Store and process your audio for fingerprinting purposes
• Compare your audio against third-party databases and streaming platform content
• Display detection results and associated metadata to you
• Share public profile information if you have enabled a public profile

4.2 Content Representations

By uploading content, you represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to upload the content
• Your content does not infringe any third party's intellectual property rights, privacy rights, or other legal rights
• Your content does not contain malware, viruses, or other harmful code
• You have not misrepresented the authorship or ownership of any uploaded content

4.3 Audio Privacy

Your uploaded audio files are kept private and are not shared with other users or made publicly accessible. Only detection results and metadata (song titles, artist names, stream counts) derived from matching activity may be shared as part of public profile features, subject to your privacy settings.

4.4 Content Removal

You may delete loops from your catalog subject to your subscription tier. Scouter (free) tier users cannot delete loops. Hunter and Tracker tier subscribers may delete loops at any time. Upon deletion, we will remove the audio from active scanning, though residual data may remain in backups for up to 30 days.

5. Intellectual Property

5.1 Our Intellectual Property

Loop Bounty and its licensors own all rights, title, and interest in and to the Service, including all software, algorithms, designs, trademarks, and content created by us. Our proprietary dual-engine audio fingerprinting technology is protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

5.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an irrevocable, perpetual, royalty-free license to use that feedback without any obligation to you.

5.3 Third-Party Content

Detection results reference songs, artist names, and metadata from third-party streaming platforms. This information is sourced from public APIs and databases. Loop Bounty does not own this content and is not responsible for its accuracy.

6. Subscriptions & Payments

6.1 Subscription Tiers

Loop Bounty offers the following subscription tiers:

• Scouter (Free): 5 uploads per month, basic scanning, match results
• Runner: $3.99/week — 30 uploads/month, full match details, 30-day scan history
• Hunter: $19.99/month — Unlimited uploads, real-time alerts, YouTube channel sync, loop deletion
• Tracker: $479.99/year — All Hunter features plus 5-member team accounts, bulk upload, dedicated account manager

6.2 Billing

Subscriptions are processed through Apple In-App Purchases (iOS). By subscribing, you agree to Apple's payment terms. Subscription fees are charged at the beginning of each billing period and automatically renew unless cancelled.

6.3 Free Trial

Where a free trial is offered, it will convert to a paid subscription at the end of the trial period unless you cancel before the trial expires.

6.4 Cancellation

You may cancel your subscription at any time through the App Store subscription settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partially used subscription periods, except as required by applicable law or Apple's refund policies.

6.5 Price Changes

We may change subscription prices upon 30 days' advance notice. Continued use of the Service after a price change constitutes your acceptance of the new price.

7. Upload Credits

Upload credits allow you to upload additional loops beyond your monthly tier limit. Credits can be purchased through Apple In-App Purchases. Credits are:

• Non-refundable once purchased
• Non-transferable between accounts
• Not redeemable for cash
• Valid indefinitely until used or account termination

Monthly free uploads reset on the first day of each calendar month and do not carry over.

8. Prohibited Uses

You agree not to use the Service to:

• Upload audio you do not own or have rights to monitor
• Upload copyrighted content belonging to others without authorization
• Attempt to reverse engineer, decompile, or extract our audio fingerprinting technology
• Use automated scripts, bots, or tools to interact with the Service without authorization
• Create false detections or manipulate detection results
• Harass, threaten, or harm other users through community features
• Post false or misleading information in the Bounty Board or community features
• Upload audio containing hate speech, illegal content, or malicious code
• Circumvent any security measures, rate limits, or access controls
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Sell, resell, or sublicense access to the Service without our written permission

9. Detection & Accuracy

You acknowledge and agree that:

• Detection results are automated and may contain errors, false positives, or false negatives
• Not all instances of your loop's usage will be detected
• Stream counts and popularity data are sourced from third-party APIs and may not be perfectly accurate or current
• You should independently verify any detection before taking legal action, contacting labels, or making public claims
• Loop Bounty is not liable for decisions you make based on detection results
• Daily automatic scans are provided as a service feature and may be subject to temporary unavailability

10. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

11. Termination

11.1 By You

You may terminate your account at any time by contacting us at support@loopbounty.com or through the account deletion feature in the app. Upon termination, your access to paid features will cease at the end of the current billing period.

11.2 By Us

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our discretion. We will endeavor to provide notice when feasible.

11.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account data after a reasonable retention period
• Provisions that by their nature survive termination (including ownership, disclaimers, limitations of liability, and indemnification) shall remain in effect

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, error-free, or secure
• Detections will be complete, accurate, or timely
• Any specific loop usage will be detected
• Results obtained from the Service will meet your requirements

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOOP BOUNTY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Missed royalty or licensing opportunities
• Damages resulting from reliance on detection results
• Any damages exceeding the amounts paid by you to Loop Bounty in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Loop Bounty and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party's rights, including intellectual property rights
• Any content you upload to the Service

15. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If informal negotiation fails, disputes shall be resolved through binding arbitration administered by a mutually agreed arbitration service, except that either party may seek injunctive relief in a court of competent jurisdiction for alleged intellectual property infringement.

You waive the right to participate in class action lawsuits or class-wide arbitration against Loop Bounty.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send a notification to your registered email address
• Display a notice within the app

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
